Payment Terms

For paid services:

• Payment terms will be specified in individual service agreements
• All fees are non-refundable unless otherwise stated
• We reserve the right to change our pricing with reasonable notice
• Late payments may result in service suspension

Limitation of Liability

In no event shall Ngage Inc, nor its directors, employees, partners, agents, suppliers, or affiliates, be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses.

Our total liability to you for any claim arising out of or relating to these terms or our services shall not exceed the amount you paid to us for the services in the 12 months preceding the claim.

Service Availability

We strive to provide uninterrupted service but cannot guarantee 100% uptime. We reserve the right to modify, suspend, or discontinue any part of our service with or without notice.

Termination

We may terminate or suspend your access immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach the Terms.

Upon termination, your right to use the service will cease immediately.

Governing Law

These Terms shall be interpreted and governed by the laws of the State of Ohio, United States, without regard to conflict of law provisions.
